1. Introduction
Welcome to OurLegalEye operated by IXTLI TECH LLC (“us,” “we,” or “our”). These Terms of Service (“Terms”) govern your use of our App, available through the Apple App Store, Google Play Store, and any other authorized distribution platform.
By accessing or using the App, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the App.
Users of the App (“Users”) may upload video files or other information through the OurLegalEye Platform for purposes including preserving potential evidence, documenting events, communicating with attorneys, and seeking legal advice or potential legal representation from attorneys authorized through the Platform. Users may include, but are not limited to, potential witnesses, individuals documenting events, First Amendment Auditors, Legal Observers, and other individuals seeking legal review or assistance.
User-uploaded content is accessible only to attorneys authorized by IXTLI TECH LLC through the OurLegalEye Platform. Users may only view their own uploaded content and may not access content submitted by other Users.
OurLegalEye is a technology platform that facilitates communication between Users and independent attorneys. OurLegalEye, IXTLI TECH LLC, and the Platform do not provide legal representation, legal advice, or legal services. Any legal services are provided solely by the individual attorney who agrees to represent a User.
Definitions
“Witness Information” means information submitted by a User identifying the User as the individual who recorded or submitted content through the Platform, together with related account information and other information associated with that User’s submission.
2. Accounts
When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding your password and for any activities or actions under your account, whether your password is with our App or a third-party service.
3. Intellectual Property
The App and its original content, features, and functionality are and will remain the exclusive property of IXTLI TECH LLC and its licensors. Our trademarks and trade dress (i.e., the visual appearance and overall look and feel of our product, including colors, layout, and design elements) may not be used in connection with any product or service without the prior written consent of IXTLI TECH LLC.
4. User Content License
By uploading any content, including video files, you retain ownership of your content. However, you grant IXTLI TECH LLC and attorneys authorized through the OurLegalEye Platform a limited, non-exclusive, revocable license to access, view, use, reproduce, store, process, transmit, analyze, and otherwise use such content as reasonably necessary to operate, maintain, improve, secure, moderate, develop, administer, and provide the Platform and its services, including facilitating legal communications, evaluating potential legal matters, providing Platform functionality, enforcing these Terms, and as otherwise described in these Terms and the Privacy Policy.
Users are solely responsible for downloading and maintaining backup copies of their content. IXTLI TECH LLC does not guarantee continuous availability, storage, or preservation of any content uploaded to the platform.
5. Attorney-Client Privilege Disclaimer
All video content uploaded by Users is submitted for the purpose of seeking legal assistance, evaluating potential legal matters, and connecting Users with attorneys authorized through the OurLegalEye Platform. Users acknowledge that such communications are intended to be confidential and made for the purpose of obtaining legal counsel, to the maximum extent permitted by law.
By uploading any video content to OurLegalEye, Users:
- Intend to seek legal advice, legal assistance, or potential legal representation from attorneys authorized through the OurLegalEye Platform;
- Expressly understand and agree that communications and information submitted through the Platform are intended to be confidential and provided for the purpose of seeking legal counsel;
- Understand that communications between a User and an attorney who provides or agrees to provide legal services may be protected under applicable attorney-client privilege laws, to the maximum extent permitted by law;
- Acknowledge that uploaded content is accessible only to attorneys authorized within the OurLegalEye system for the purpose of evaluating potential legal matters and communicating with Users, and providing legal services when an attorney-client relationship is established. Such content will not be shared externally except as authorized by the User, permitted through the attorney-client relationship, or required by law.
Uploading content through OurLegalEye does not create an attorney-client relationship with IXTLI TECH LLC or OurLegalEye. An attorney-client relationship is established only between a User and an attorney when the attorney agrees to provide legal services or representation in accordance with applicable law and professional obligations.
6. Age Restrictions
OurLegalEye is not intended for use by anyone under the age of 13. By using this App, you represent that you are at least 13 years old. If you are under the age of 18, you may only use the App with the involvement of a parent or guardian.
7. Prohibited Uses and Legal Use Only
You agree to use the App only for lawful purposes. You may not use the App to engage in any illegal conduct, including acts of violence, harassment, stalking, unauthorized surveillance, or recording in violation of privacy laws.
8. No Encouragement of Physical Intervention
OurLegalEye is a technology platform designed to assist Users in recording and preserving potential evidence, collecting video evidence and witness information, and facilitating communication with attorneys. OurLegalEye does not encourage or require Users to physically intervene in any event, incident, confrontation, or emergency. Users who choose to take any action beyond recording or documenting events do so voluntarily and at their own risk. IXTLI TECH LLC shall not be liable for any injury, death, property damage, or other loss arising from such actions.
9. No Guarantee of Emergency Response
OurLegalEye is not an emergency service. If you require urgent help, contact local emergency services (e.g., by calling 911). Uploading a video does not notify authorities.
10. Links to Other Websites
Our App may contain links to third-party websites or services not owned or controlled by IXTLI TECH LLC. We assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that IXTLI TECH LLC shall not be responsible or liable, directly or indirectly, for any damages, losses caused, or alleged to be caused, by or in connection with, use of, or reliance on any such content, goods, or services available on, or through any such web sites or services.
11. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will cease immediately. You may terminate your account at any time by discontinuing use of the App.
12. Limitation of Liability
In no event shall IXTLI TECH LLC, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from:
- Your access to, or use of, or inability to access, or use the App;
- Any conduct or content of any third party on the App;
- Any content obtained from the App; and
- Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damages, and even if a remedy set forth herein is found to have failed of its essential purpose.
IXTLI TECH LLC shall not be liable for any lost, deleted, corrupted, inaccessible, hacked, or otherwise unavailable content, data, or videos for any reason.
13. Disclaimer
Your use of the App is at your sole risk. The App is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
14. Dispute Resolution
Any disputes arising out of or in connection with these Terms shall be resolved through binding arbitration in the State of California, pursuant to the rules of the American Arbitration Association. You waive your right to participate in class actions.
15. Governing Law
These Terms shall be governed and construed in accordance with the laws of California, USA, without regard to its conflict of law provisions.
16. Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion.
17. Attorney-Specific Terms
17.1 Attorney Account Types
OurLegalEye offers two types of accounts for attorneys:
- Freemium Account: Attorneys may create a Freemium account at no cost. Freemium accounts allow attorneys to maintain a public attorney profile and use certain features of the Platform, but do not provide access to User video files, confidential case information, or Premium attorney features.
- Premium Account: Attorneys may purchase a monthly or annual Premium subscription. Premium accounts provide access to confidential User-uploaded video files, Witness Information, communications, related case materials, and additional Premium features offered through the Platform. Premium attorneys must comply with these Terms, all applicable laws, bar rules, and professional ethical obligations, and all applicable rules governing attorney conduct when accessing and handling such content.
17.2 Subscription Plans and Billing
Premium attorney subscriptions are offered on a monthly or annual basis at the pricing displayed on the Platform at the time of purchase. Monthly Premium subscriptions provide Premium access for thirty (30) days from the date of purchase. Annual Premium subscriptions provide Premium access for one (1) year from the date of purchase.
Premium subscriptions do not automatically renew. Attorneys who wish to continue their Premium membership after the subscription period expires must purchase a new Premium subscription.
Subscription pricing may be modified by OurLegalEye at any time. Any pricing changes apply only to future purchases and shall not affect existing subscriptions.
Attorneys may discontinue use of Premium services at any time; however, discontinuing use of Premium services does not entitle the attorney to a refund except as expressly provided in the OurLegalEye Purchase Policy. All Premium subscription purchases are governed by the OurLegalEye Purchase Policy, which is incorporated into these Terms by reference.
Premium subscriptions are issued to the purchasing attorney and may not be transferred, assigned, or sold to another attorney or third party without OurLegalEye’s prior written approval.
17.3 Satisfaction Guarantee
OurLegalEye offers a Satisfaction Guarantee for eligible attorney subscriptions as described in the OurLegalEye Purchase Policy. Eligible attorneys who receive no clients through OurLegalEye during the applicable guarantee period may request a full refund, provided all eligibility requirements are satisfied. The Satisfaction Guarantee is subject to the eligibility requirements, procedures, limitations, and exclusions contained in the OurLegalEye Purchase Policy.
17.4 Satisfaction Guarantee Eligibility
Eligibility requirements, refund procedures, refund limitations, and all other conditions applicable to the OurLegalEye Satisfaction Guarantee are governed exclusively by the OurLegalEye Purchase Policy.
17.5 Cooling-Off Period Following Refund
An attorney who receives a refund under the OurLegalEye Satisfaction Guarantee shall not be eligible to purchase another Premium subscription or receive another Satisfaction Guarantee until six (6) months have elapsed from the date the refund is issued.
17.6 Confidential Use Requirement
Premium attorneys agree that all User-uploaded content, confidential information, and communications accessed through the Platform shall be used solely for the legitimate purpose of evaluating potential legal representation and communicating with prospective clients. Attorneys shall not disclose, reproduce, copy, distribute, or otherwise use User information except as authorized by the User or permitted by applicable law. Unauthorized use or sharing of content is strictly prohibited.
17.7 Ethical and Licensing Requirements
Attorneys represent and warrant that they are duly licensed to practice law, remain in good standing in each applicable jurisdiction, and are authorized to provide legal services. Attorneys agree to comply with all applicable statutes, court rules, State Bar rules, professional responsibility requirements, advertising regulations, attorney-client privilege obligations, solicitation, conflict-of-interest rules, confidentiality requirements, and all other ethical obligations governing the practice of law.
17.8 Suspension or Termination of Attorney Access
OurLegalEye may suspend, restrict, or terminate an attorney’s access to the Platform, including Premium access, if OurLegalEye reasonably believes the attorney:
- Violated these Terms;
- Violated applicable laws or ethical obligations;
- Engaged in fraud, deception, or misuse of the Platform;
- Attempted to circumvent the Satisfaction Guarantee or Purchase Policy; or
- Is otherwise required to be suspended or removed by law, court order, or governmental or regulatory authority.
Termination under this Section does not affect OurLegalEye’s other legal rights or remedies.
18. Indemnification
You agree to indemnify, defend, and hold harmless IXTLI TECH LLC, its parent companies, subsidiaries, affiliates, officers, directors, managers, members, shareholders, employees, contractors, agents, representatives, attorneys, licensors, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees and litigation expenses) arising out of or relating to:
- Your use of the Platform;
- Your uploaded content;
- Your violation of these Terms, the Privacy Policy, or the Purchase Policy;
- Your violation of any law or regulation; or
- Your infringement of the rights of any third party.
19. SMS Program Terms
OurLegalEye (IXTLI TECH LLC) may send informational text messages about account activity, witness requests, evidence updates, attorney-related notifications, and customer support. Message frequency varies. Message and data rates may apply.
Users opt in by checking an optional, unchecked SMS consent checkbox in the OurLegalEye app. Consent is not a condition of purchase or of using the App. Reply STOP to opt out. Reply HELP for help. Support: rchavez.ixtli@gmail.com. Privacy Policy: https://ourlegaleye.com/privacy.html.
